MOGUL GRANT SYSTEM
TERMS & CONDITIONS

1. ACCEPTANCE OF TERMS

These Terms and Conditions (“Terms”) govern access to and use of the Mogul Grant System website, software platform, applications, artificial intelligence features, grant discovery tools, funding resources, document tools, White Label services, and related services (“Services”).

The Services are provided by FI Tax Wealth LLC, a California limited liability company. Mogul Grant System is a product and brand of FI Tax Wealth LLC.

By creating an account, purchasing a subscription, accessing the Services, or clicking to accept these Terms, you agree to be bound by these Terms, the Privacy Policy, Refund and Cancellation Policy, AI, Funding & Grant Information Disclaimer, and any additional terms presented in connection with specific Services.

If you do not agree, do not access or use the Services.

2. ELIGIBILITY

You must be at least 18 years old and legally capable of entering into a binding agreement to create an account or purchase Services from Mogul Grant System.

By creating an account, you represent that the information you provide is accurate and that you have authority to use the Services on behalf of any business or organization you register.

3. NATURE OF THE SERVICE

Mogul Grant System is a software and information platform designed to help users discover, organize, evaluate, prepare for, and track potential grants and other funding opportunities.

Mogul Grant System is not a government agency, grant-making organization, financial institution, law firm, accounting firm, or governmental representative.

Mogul Grant System does not issue grants and does not control funding decisions unless a particular opportunity expressly identifies Mogul Grant System as the funding provider.

Information concerning grants and funding opportunities may originate from publicly available government, nonprofit, corporate, foundation, or other third-party sources.

4. NO GOVERNMENT AFFILIATION

Mogul Grant System is an independent private business.

Unless expressly stated otherwise, Mogul Grant System is not affiliated with, endorsed by, sponsored by, or acting on behalf of the United States government, Grants.gov, SBA, SAM.gov, USDA, NIFA, any state or local government, any foundation, corporation, nonprofit organization, or other funding provider.

Government and third-party names may be used solely to identify the source of publicly available funding information.

5. NO GUARANTEE OF FUNDING

Mogul Grant System does not guarantee that any user will:

• qualify for a grant;
• receive funding;
• receive a particular funding amount;
• be approved for an opportunity;
• receive a response from a funding provider;
• meet eligibility requirements;
• submit a successful application; or
• achieve any particular financial or business result.

Grant decisions are made solely by the applicable funding organizations.

Match percentages, recommendations, rankings, scores, and similar outputs are informational tools and are not determinations of eligibility or approval.

6. ARTIFICIAL INTELLIGENCE

Certain portions of the Services use artificial intelligence and automated systems.

AI may assist with functions including:

• funding recommendations;
• grant matching;
• summaries;
• proposal drafting;
• application preparation;
• document analysis;
• eligibility analysis;
• funding alerts; and
• other automated recommendations.

AI-generated information may contain errors, omissions, outdated information, or inaccurate conclusions.

Users are responsible for independently reviewing and verifying all AI-generated content before relying upon, submitting, publishing, or otherwise using it.

AI-generated content must not be treated as official language from a funding organization unless the applicable source expressly provides that language.

7. NO PROFESSIONAL ADVICE

Information provided through Mogul Grant System does not constitute legal, financial, accounting, tax, investment, or other regulated professional advice.

Users should consult qualified professionals when professional advice is required.

8. THIRD-PARTY FUNDING INFORMATION

Funding opportunities may be obtained or derived from publicly accessible sources and authorized data sources.

Mogul may summarize, organize, classify, normalize, or otherwise transform information to improve discovery.

Funding providers remain responsible for their own programs, requirements, deadlines, award amounts, eligibility rules, and application processes.

Users should review the original funding source before submitting an application.

If information displayed by Mogul conflicts with information published by the original funding provider, the original provider's current information controls.

9. ACCOUNTS

Users must provide accurate information and maintain the confidentiality of their credentials.

Users are responsible for activities conducted through their accounts.

Users must promptly notify Mogul Grant System of suspected unauthorized access.

Accounts may not be sold, transferred, shared, or used to circumvent plan restrictions unless expressly permitted by the applicable plan.

10. SUBSCRIPTIONS

Paid plans may include Basic, Individual, Business, White Label, or other plans offered by Mogul Grant System.

Subscription prices, limits, features, billing intervals, and included credits are disclosed before purchase.

Unless otherwise stated, subscriptions automatically renew at the applicable recurring rate until canceled.

Before completing a subscription purchase, users are shown the recurring price, billing frequency, automatic-renewal terms, cancellation method, and links to the applicable policies.

11. CANCELLATION

Users may cancel recurring subscriptions through the cancellation mechanism provided by Mogul Grant System or its authorized payment processor.

Cancellation prevents future renewals but generally does not retroactively refund charges already incurred, except where required by law or provided under the Refund & Cancellation Policy.

Users retain access through the end of the paid billing period unless otherwise stated.

Mogul Grant System will not intentionally make cancellation materially more difficult than enrollment.

12. CREDITS

Certain plans may include usage credits.

Additional credits may be available for purchase.

Credits:

• have no cash value;
• cannot be transferred unless expressly permitted;
• cannot be exchanged for cash; and
• may only be used for eligible Mogul Grant System features.

Purchased credits are subject to the applicable purchase and usage terms displayed by the Platform.

13. WHITE LABEL SERVICES

Eligible customers may receive White Label functionality.

White Label customers remain responsible for:

• their business;
• customers;
• representations;
• branding;
• domains;
• marketing;
• legal compliance; and
• use of the Mogul platform.

White Label access does not transfer ownership of Mogul's underlying technology, source code, intellectual property, databases, proprietary algorithms, or platform infrastructure.

14. INTELLECTUAL PROPERTY

Mogul Grant System and its proprietary software, source code, interfaces, designs, database structure, algorithms, workflows, AI configurations, branding, documentation, original written content, and other proprietary materials are owned by or licensed to Mogul Grant System and are protected by applicable intellectual-property laws.

Publicly available grant information remains subject to the rights applicable to its original source.

15. LIMITED LICENSE

Users receive a limited, non-exclusive, non-transferable, revocable right to access the Services according to their subscription.

Users do not acquire ownership of the software.

16. PROHIBITED CONDUCT

Users may not:

• copy or reproduce Mogul's proprietary software;
• reverse engineer the Platform except where law prohibits such restriction;
• scrape the Platform;
• bypass subscription restrictions;
• circumvent credits or usage limits;
• gain unauthorized administrative access;
• interfere with security;
• resell access without authorization;
• impersonate Mogul or funding organizations;
• use the Services for fraud;
• upload malware;
• exploit vulnerabilities;
• access another tenant's information;
• falsify grant application information; or
• violate applicable laws.

17. USER CONTENT

Users retain ownership of documents and original materials they upload.

Users grant Mogul Grant System the limited rights necessary to store, process, analyze, transmit, and display such content to provide the Services.

Mogul Grant System does not acquire ownership of a user's underlying business documents merely because they are uploaded.

18. SUSPENSION AND TERMINATION

Mogul Grant System may suspend or terminate accounts for fraud, abuse, security threats, unlawful conduct, nonpayment, chargeback abuse, violations of these Terms, or actions that threaten the Platform or other users.

19. THIRD-PARTY SERVICES

Mogul Grant System may integrate with payment processors, email providers, artificial intelligence providers, government databases, funding providers, APIs, and other external services.

Those services may be governed by their own terms and privacy policies.

20. SERVICE AVAILABILITY

Mogul Grant System does not guarantee uninterrupted availability.

Maintenance, infrastructure problems, third-party outages, APIs, funding-provider systems, artificial intelligence providers, email providers, databases, internet failures, and other circumstances may affect availability.

21. DISCLAIMER OF WARRANTIES

To the maximum extent permitted by applicable law, the Services are provided “as is” and “as available.”

Mogul Grant System disclaims warranties not expressly provided in these Terms, including implied warranties to the extent legally permitted.

22. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Mogul Grant System will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the Services, lost funding opportunities, lost profits, business interruption, third-party decisions, or reliance on AI-generated information.

23. INDEMNIFICATION

To the extent permitted by law, users agree to indemnify and hold Mogul Grant System harmless from third-party claims arising from their unlawful use of the Services, violation of these Terms, infringement of third-party rights, or content submitted through their account.

24. CHANGES

Mogul Grant System may update these Terms when necessary.

Material changes will be communicated as required by applicable law.
